AlphaTON Capital is pursuing one of the most aggressive fundraising strategies seen from a nano-cap issuer this year, unveiling plans for a $420.69 million shelf registration after officially exiting the SEC’s restrictive baby-shelf framework. The move signals a broader attempt to scale its presence in the TON ecosystem and expand its artificial intelligence infrastructure.

The company’s new filing maarks a notable shift as baby-shelf rules generally limit micro-cap firms from issuing large volumes of stock to protect investors from excessive dilution. With those limits removed, AlphaTON now has the legal ability to raise far more capital than its $13 million market valuation might suggest. The choice of $420.69 million—a figure often referenced in crypto culture—underscores the firm’s effort to attract attention within the digital-asset community.

AlphaTON’s move comes during a period of intense volatility. The company’s stock has fallen 64% in one month, dropping from $4.75 on Nov. 5 to $1.71, even as it holds a substantial reserve of more than 12.8 million Toncoin, valued at approximately $20.5 million.

AI Infrastructure and TON Treasury Strategy Drive Ambitions

If successful, AlphaTON says proceeds will be directed toward GPU infrastructure expansion for Telegramas Cocoom AI network acquisition of revenue-generating Telegram applications, and the purchase of additional TON tokens for its treasury. The announcement briefly lifted investor sentiment, pushing the stock 14.7% higher from its recent low.

The fundraising bid coincides with a broader slowdown across digital-asset treasuries, with corporate crypto allocations falling to $1.32 billion in November, the weakest month of 2025. While Bitcoin allocations remained strong, several Ether-linked treasuries shifted into outflows.

AlphaTON’s attempt to scale during a cooling market highlights both the firm’s high-risk positioning and its ambition to capitalize on growth within the TON and AI sectors.
