Why Lending Vaults Are Hard to Classify

Lending vaults can channel billions into onchain credit markets without resembling traditional lending structures. EU digital assets lawyer Yuriy Brisov noted that since no legal category for “vaults” currently exists, regulators must assess them based on function rather than label. Complicating matters further, responsibilities within these systems are often split across multiple participants and smart contracts rather than a single company.

Morpho’s Structure Highlights the Challenge

Decentralized lending protocol Morpho illustrates this complexity well. Its Vault V2 system divides roles among an owner, curator, allocator, and sentinel, none of which clearly qualifies as a regulated lending provider under current rules. Legal expert Jonathan Galea cautioned against grouping all DeFi lending under one label, warning that structures with very different functions could be treated the same way unfairly.
