OpenPayd Aims for Year-End Nasdaq Listing to Power US Expansion and Acquisitions

London-based payments infrastructure firm OpenPayd expects to go public on Nasdaq by the end of the year through a merger with Titan Acquisition Corp., CEO Iana Dimitrova said in an interview with CoinDesk. The company is in the final stage of the SEC's review, and the deal still needs an effective registration statement and Titan shareholder approval. Financial Results and US Launch Timeline

For the year ended April 30, 2026, OpenPayd reported $73 million in revenue, up from $57 million, with $13 million in EBITDA and a $2.8 million net loss. A spokesperson said the loss comes entirely from $5.8 million in one-time deal costs. The firm targets a US launch by April 2027 and last month brought MSB USA Inc., with its 43 state money transmitter licenses, into the group. Clients include Kraken, B2C2 and OKX.

Acquisitions and Stablecoin Opportunity in the US

Dimitrova wants to buy firms that add licenses or technology and speed up its entry. A listing would supply capital and shares for deals, and a private placement before the merger is also being considered. She called delays in US market structure legislation a setback but said they have not changed the expansion plan. Rules like the GENIUS Act have made the US more attractive for stablecoin payments.
