Digital asset treasury company Evernorth Holdings announced that its registration statement with the Securities and Exchange Commission has officially taken effect, marking a key step toward becoming a publicly traded company.
Path to a Public Listing
The approval relates to Evernorth’s planned merger with a special purpose acquisition company, a structure commonly used to bring firms to public markets faster than a traditional listing. Through this deal, Evernorth intends to list on the Nasdaq exchange. The company was built specifically to give public investors regulated exposure to XRP, with plans to invest capital into XRP-related infrastructure and grow its holdings per share over time.
Leadership and Backing
Evernorth’s chief executive said the move reflects growing institutional interest in blockchain-based finance, positioning the company to support XRP’s expanding role in that shift. The firm counts several major crypto investment groups and exchanges among its backers.
Deal Timeline and Market Context
The merger is expected to close by the end of this year, pending shareholder approval, after which the combined company would trade under a new ticker. XRP itself remains one of the largest cryptocurrencies by market value and has posted gains in recent trading.
