Deal Structure And Terms

The non binding proposal includes 3 million pounds in cash, roughly 4 million pounds in shares issued at completion, and up to 5 million pounds tied to performance targets. Shares would be priced at a minimum of 6 pence with a four year lock in period. Because Stack director Paul Withers controls the entity selling Direct Bullion, the deal counts as a related party transaction and would be structured as a reverse takeover, pending due diligence and final agreements. Direct Bullion reported 52.1 million pounds in revenue and 2.15 million pounds in after-tax profit for the year ending January 2026.

Part Of A Twin-Pillar Bitcoin Strategy

Stack’s executive chairman described the move as combining direct bitcoin purchases funded by capital raises with acquiring profitable businesses that generate cash to buy more bitcoin. This would mark the company’s first deal under that approach. Farage invested in Stack BTC in March through his company, taking roughly a 6.3% stake. The news follows a separate announcement that Farage’s political party recently received close to $97 million in donations from two crypto entrepreneurs. Stack BTC currently holds about 68 BTC, worth roughly $5.2 million, with shares down 1% following the announcement.
