SEC Official Says Crypto Vaults and Lending Platforms Could Still Fall Under Securities Rules
A senior SEC commissioner has warned that crypto vaults and on chain lending platforms aren't automatically exempt from federal securities laws simply because they operate on blockchain technology. The statement adds fresh clarity to an area of crypto that has grown quickly but remained legally murky.

A senior SEC commissioner has warned that crypto vaults and on chain lending platforms aren’t automatically exempt from federal securities laws simply because they operate on blockchain technology. The statement adds fresh clarity to an area of crypto that has grown quickly but remained legally murky.
Vaults Vary Widely in Structure
The commissioner explained that crypto vaults use smart contracts to direct user funds into yield-generating activities like staking and lending. Some vaults run entirely on fixed, automated code, while others rely on human decision-makers actively managing where funds go. Those making active choices, such as selecting strategies or reallocating funds, may need to determine whether their role brings them under securities regulation.

Lending Platforms Face Similar Questions
On-chain lending services, where users lend out assets for a fee, were flagged for similar reasons. Platforms that set interest rates, choose which assets to support, or manage liquidation rules could be conducting activities that resemble regulated lending or investment products, depending on the specifics involved.
A Warning Against Loopholes
The commissioner cautioned against trying to creatively interpret the law to avoid oversight, urging companies instead to work directly with regulators to build compliant products. She noted these tools offer real value for generating returns but said their long term success depends on resolving these legal questions early, while also respecting limits on regulatory authority and protecting developer rights.
